Terms of Use

These Terms of Use govern access to and use of the Nixo platform, website, applications, authentication systems, the Pulse productivity intelligence platform, the Unifort identity layer, and all related services provided by Nixo.

By accessing or using any part of the Nixo ecosystem, you agree to these Terms. If you do not agree, you must discontinue the use of the Services immediately.

Introduction

Nixo provides a suite of cloud-based software solutions designed for workforce intelligence, access management, digital operations, and organisational analytics. These Terms establish the rights and responsibilities that govern your use of the Nixo Services, whether accessed via web interface, desktop agent, mobile application, or API.

Certain parts of the platform may be subject to additional terms, service agreements, or specific product policies. Where conflicts exist, the most specific terms shall apply.

Eligibility and Account Requirements

To use the Nixo Services, you must be at least eighteen years old and legally competent to form a binding contract. Organisations must ensure that only authorised personnel access their Tenancy.

Account creation requires accurate and complete information. You are responsible for maintaining the confidentiality of login credentials, authentication secrets, device trust factors, and backup codes generated through Unifort. Any activity undertaken through your account is deemed to be performed under your authority.

Nixo reserves the right to suspend or terminate accounts that violate these Terms, provide inaccurate information, or pose security risks.

Use of the Services

The Nixo Services are intended for legitimate organisational use and must not be misused. You may not interfere with the functioning of the platform, attempt to circumvent security mechanisms, or engage in any activity that undermines the integrity or performance of Nixo systems.

Use of the Pulse Desktop Client requires installation on devices under your ownership or control. You are responsible for notifying users of any monitoring or data collection performed by Pulse, including screenshot capture, system telemetry, or productivity analytics.

The Services may evolve as Nixo introduces enhancements, modifications, or new modules. Nixo may modify, suspend, or discontinue components of the platform as necessary for technical, operational, or legal reasons. Nixo does not guarantee uninterrupted availability, specific functionality, or compatibility with any particular environment.

Acceptable Use

You agree not to use the Services to violate any law, infringe intellectual property rights, distribute malicious code, access accounts without permission, attempt to reverse engineer the platform, conduct scraping or automated data extraction, or engage in harmful or abusive conduct.

Attempts to perform penetration testing, load testing, or security probing require explicit written authorization from Nixo. Use of the Services for activities that could harm Nixo, its customers, or the public is strictly prohibited.

Nixo may investigate suspected violations and may suspend access pending review.

5.

Data Handling and Privacy

Your use of the Nixo Services is governed by the Nixo Privacy Policy, incorporated by reference into these Terms. By using the Services, you acknowledge that certain data will be collected and processed to deliver platform functionality, including authentication information, system telemetry, behavioural insights, and organisational analytics.

You must ensure that you have lawful rights and consents to provide any data submitted or generated through your Tenancy. You remain responsible for informing your employees, contractors, and users about monitoring activities, data collection, screenshot capture, and analytics performed by the platform.

Nixo processes data in accordance with applicable law and uses appropriate safeguards to protect personal information. You acknowledge that some pseudonymized or operational metadata may be processed in regions outside your primary jurisdiction as described in the Privacy Policy.

6.

Third Party Services

The Nixo platform may rely on third party services such as analytics providers, cloud infrastructure, communication gateways, or billing partners. These services operate under their own terms and privacy practices. Nixo does not control third party services and is not responsible for any interruptions or actions caused by them.

Where integrations with third party platforms are offered, your use of such integrations is subject to the respective provider's terms. You remain solely responsible for ensuring compliance with third party obligations.

7.

Intellectual Property

All intellectual property rights in the Nixo Services, including software, algorithms, user interfaces, system designs, documentation, and trademarks, belong exclusively to Nixo. No rights are granted except those expressly stated in these Terms.

You may not copy, duplicate, modify, reproduce, or create derivative works from any portion of the Nixo platform. You may not claim ownership of insights, data models, or AI generated outputs provided by the Services.

You retain ownership of Customer Data, subject to the rights granted to Nixo to provide and improve the Services.

8.

Feedback

You may provide feedback, suggestions, or insights regarding the Nixo Services. All feedback is voluntary. By providing feedback, you grant Nixo a perpetual, royalty free, irrevocable license to use such feedback for any purpose without obligation to you.

9.

Service Availability

Nixo aims to maintain a reliable and secure service but does not guarantee uninterrupted access. Downtime may occur due to maintenance, upgrades, regulatory obligations, or unforeseen issues.

Scheduled maintenance will be communicated in advance where possible. Unplanned outages may occur as Nixo responds to operational or security incidents.

Nixo is not liable for losses resulting from service interruptions.

10.

Billing and Subscription Terms

Access to certain Nixo Services may be subject to subscription fees or billing cycles. Free trials, promotional access, or limited term licenses are provided at Nixo's discretion.

If your organisation transitions from a trial phase to paid access, continued use constitutes acceptance of the relevant commercial terms. Failure to pay fees when due may result in suspension or termination of access.

11.

Termination

You may terminate your account or tenancy at any time by following the applicable offboarding procedures. Nixo may terminate or suspend access if you violate these Terms, pose a security threat, misuse the Services, or fail to comply with legal obligations.

Upon termination, your right to use the Nixo Services ends immediately. Data associated with your account will be handled in accordance with the Privacy Policy.

Disclaimers

The Services are provided "as is" and "as available". Nixo disclaims all warranties, whether express or implied, including warranties of accuracy, availability, fitness for a particular purpose, reliability, or non-infringement. Nixo does not guarantee that the Services will be error free, uninterrupted, or free from vulnerabilities.

Use of early release, beta, or experimental features may involve risks including data loss, instability, performance degradation, or unexpected behavior.

13.

Limitation of Liability

To the fullest extent permitted by law, Nixo is not liable for indirect, incidental, punitive, or consequential damages, including loss of business, data loss, profit loss, or interruption of operations.

Nixo's total liability under these Terms will not exceed the amount paid by the Customer for the Services during the twelve-month period preceding the event giving rise to the claim, or zero if no amounts were paid.

14.

Governing Law

These Terms are governed by the laws of Australia unless otherwise required by local law. Any disputes will be resolved in the courts of Australia, subject to Nixo's ability to seek enforcement in other jurisdictions if required.

15.

Modifications

Nixo may update these Terms to reflect improvements, regulatory changes, or operational adjustments. Updated Terms will be posted on the Nixo website with a revised effective date. Continued use of the Services after changes to take effect constitutes acceptance of the updated Terms.
